Zuri Circle - Terms and Conditions

1. Introduction

Welcome to Zuri Circle. These Terms and Conditions (“Terms”) govern your use of our website, app, community spaces, programs, and any related services offered by Zuri Circle Limited (“Zuri Circle”, “we”, “us”, “our”). By accessing or using any part of Zuri Circle’s platforms or services, you agree to be bound by these Terms. If you do not agree, please do not use our platforms or services.

2. Who We Are

Zuri Circle is a women’s leadership and execution ecosystem focused on community, structure, accountability, and access for ambitious women across Africa and the diaspora.

3. Eligibility

Zuri Circle is primarily designed for women and those who identify as women who:

• are at least 18 years old; and.
• are able to enter into a binding contract under applicable law.

4. Your Account & Access

To access certain features (including the Zuri Circle App, membership tiers, or closed communities), you may need to create an account and provide accurate, current information. You agree to:

• keep your login details secure.
• promptly update your information when it changes
• be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate access where we reasonably believe there has been a breach of these Terms or misuse of our platforms

5. Membership & Tiers

Zuri Circle offers different types of access, including:

• Community Access (freemium)
• Enrollments are non-transferable.
• Enterprise / Corporate Membership
• Core Circle Membership(including Digital Circle, Platinum, Elite)

Each tier may have separate pricing, benefits, and criteria, which will be described on our website, app, or in membership materials. We may update these from time to time. By purchasing or activating any membership tier, you agree to the specific conditions attached to that tier.

6. Programs, Events & Grants

From time to time, Zuri Circle may host:

• programs, labs, or masterclasses;
• in-person or virtual events;
• grant cycles, demo days, or similar opportunities.

Participation in these activities may be subject to additional guidelines, eligibility rules, and selection criteria. We reserve the right to:

• set or amend selection criteria;
• accept or decline applications at our sole discretion;
• modify, postpone, or cancel any program or event where necessary.

Receiving a grant, award, or opportunity through Zuri Circle does not create an employment relationship, partnership, or joint venture between you and Zuri Circle.

7. Payments, Renewals & Refunds

Where fees apply (for membership, programs, or other services), payment terms will be clearly stated at the point of purchase. Unless otherwise stated:

• fees are payable in advance;
• fees may be non-refundable, except where required by law or where expressly indicated

You are responsible for any bank charges, exchange rate differences, or taxes (where applicable) associated with your payment

8. Community Conduct

Zuri Circle is a serious, respectful space. By participating in our community (online or offline), you agree to:

• treat other members with respect;
• maintain confidentiality where sensitive or personal information is shared;.
• avoid harassment, discrimination, abuse, or any form of harmful conduct;
• refrain from selling, spamming, or aggressively promoting products/services unless expressly allowed

We may suspend or remove any member from our spaces, without refund, where behaviour is inconsistent with these standards or poses risk to other members or to Zuri Circle.

9. Intellectual Property

Unless otherwise stated:

• All content on Zuri Circle’s website, app, and platforms — including text, graphics, logos, photos, videos, and materials — is owned by or licensed to Zuri Circle and is protected by applicable intellectual property laws.
• You may not copy, reproduce, distribute, modify, or create derivative works from Zuri Circle content without our prior written consent, except for personal, non- commercial use within the community

You retain ownership of any original content you create and share, but you grant Zuri Circle a non-exclusive, royalty-free licence to use, display, and share that content within our platforms and in anonymised or aggregated form for learning, reporting, or promotional purposes, unless you expressly withdraw that permission in writing.

10. Third-Party Links & Services

Our platforms may include links to third-party websites, tools, or services. These are provided for convenience only. Zuri Circle does not control and is not responsible for:

• the content, policies, or practices of third parties;
• any loss or damage arising from your use of third

11. Disclaimers

Zuri Circle is not a financial, legal, mental health, or medical service provider. Information shared through our platforms, events, or community(including by facilitators, guests, partners, or other members) is for general education and support only. It should not be taken as professional advice or a substitute for professional services. We do not guarantee specific outcomes in your business, career, finances, or personal life as a result of participating in Zuri Circle.

12. Limitation of Liability

To the fullest extent permitted by law:

• Zuri Circle and its officers, employees, and partners shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our platforms or services;
• Our total liability for any claim arising out of or relating to these Terms or your use of Zuri Circle shall not exceed the total fees paid by you to us in the 6 months prior to the event giving rise to the claim (if any).

Nothing in these Terms excludes liability where it cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold Zuri Circle harmless from any claims, losses, damages, liabilities, or expenses (including legal fees) arising from:

• your breach of these Terms;
• your misuse of our platforms or services;
• your violation of any law or of the rights of any third party.

14. Change to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or operations. When we make significant changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you via email or within the app. Your continued use of our platforms after any changes means you accept the updated Terms

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or your use of Zuri Circle shall be subject to the exclusive jurisdiction of the courts of [Lagos State], Nigeria
